Scottish marine publisher Seamanship International has merged with Witherbys, a seventh-generation publishing business, to create Witherby Seamanship International, combining more than 400 titles and generating initial turnover of around £3.5million.

The fifty-fifty merger will bring day-to-day control of the business from London to Seamanships’s headquarters in Livingston, Scotland.

Morton Fraser was lead adviser to Seamanship and its shareholders. Corporate partner Austin Flynn led the team comprising specialist corporate, IP and employment lawyers.

Says Flynn: “It was a pleasure to be involved with the transaction as there was so much goodwill and willingness from all participants to make the deal happen. Iain, Kat, Alan and Kath make a powerful team and I look forward to working with them in the years to come.”

Morton Fraser’s corporate team handles all aspects of mergers and acquisitions, equity investments, commercial contracts, joint ventures and partnerships, limited liability partnerships, outsourcing/strategic alliances, re-organisations/reconstructions, EU and competition law, corporate governance, company and limited liability partnership start-ups, unincorporated associations, company secretarial, structuring of investment funds as well as management buy-outs and buy-ins
